Insider Dealing Arrests

Shares City - Eight Arrested for Alleged Insider Dealing

Eight people have been arrested in the biggest ever crackdown by the FSA for alleged insider dealing, as properties were searched in London and South East England by City of London police and 40 FSA officials. Most of the arrests took place at homes, which implies the use of the infamous ‘dawn raid’ (where were the TV cameras?).

Computers and documents were taken away as part of the investigation that has apparently been underway for months. All the people arrested are men aged 27-48.

The Financial Services Authority said the arrests were part of its "ongoing work to combat market abuse". The FSA is taking steps to improve and increase its insider dealing enforcement activities and there are already three cases before the courts. It appears determined to get rid of its reputation of being ‘toothless’.

Plea bargaining similar to that used in the USA will form part of a "bold and more resolute" approach.

Sir Callum McCarthy, ex Chairman, said the City still didn’t take the problem of market abuse seriously enough.

The FSA is at long last improving its enforcement and monitoring activities of financial markets via an upgrade to Sabre - its transaction monitoring system.

It also is determined to put greater emphasis on prosecutions designed to act as a greater deterrent, with those found guilty facing the very real prospect of jail time.

The FSA has already investigated a number of cases of market abuse including the spreading of false rumours, as mentioned by Henry Paulson, with regard to the funding position of HBOS, which caused its share price to slump back in March.

These latest arrests come just days after the FSA charged Malcolm Calvert with twelve counts of insider trading between 2003 and 2005. Mr Calvert used to be a partner at the Queen's stockbroker Cazenove. If he is found guilty, he faces up to seven years in prison.

Yesterday the FSA also charged Matthew Uberoi and Neel Uberoi with 17 counts of insider dealing. The pair, who are related, are accused of “exploiting inside information” when trading thousands of shares in - NeuTec Pharma and Gulf Keystone Petroleum in 2006.

Another criminal case being brought by the FSA is against Christopher McQuoid, ex general counsel of TTP Communications, and James William Melbourne. They all deny any wrongdoing.
According to lawyers, if the FSA manages to get a major scalp this would be a huge deterrent to other would-be insider dealers.

Let us hope that any wrongdoers are "brought to justice" as the phrase goes. Personally I am rather surprised it hasn’t been given more prominence on the financial channels.

Naked Short Selling Emergency List

SEC Naked Short Selling Emergency Order List of Companies

The SEC has issued an emergency order to outlaw naked short selling which will come into effect on 21st July at 12.01 EDT. The aim is to prevent short selling of certain securities by people who do not own any shares in the companies concerned and who also do not borrow shares to allow them to short shares legally.

Naked short selling has been going on for years of course, but as long as it only affected companies that were peripheral to the world economy such as electronics manufacturers or software companies etc... then everybody turned a blind eye and told the company SEOs to stop whingeing and whining etc... They said it was all part of a healthy financial market and people should stop moaning and get a life etc...

Patrick Byrne CEO of Overstock.com has been waging a war against naked short selling for years - see Naked Short Selling. Byrne said many moons ago "the pernicious effect on America of Wall Street corruption in the form of naked short selling and collusion among hedge funds, prime brokers, and a few research analysts (as are detailed in lawsuits Overstock has filed against Gradient Analytics, Rocker Partners and Wall Street's major prime brokers), and expose corruption in business journalism via a handful of shill journalists who seek to hijack social media's discourse regarding this scandal so that understanding does not form within the Blogosphere." Byrne further believes that the SEC has not done enough to put an end to this abusive practice "in a way that creates the possibility of systemic risk for our financial world." Well it seems the SEC now agrees with him ! Now that their own jobs are on the line. What have they been doing all these years ? Nothing much probably. Well it's nice to see that they have finally woken up from their well-paid stupor, let's hope that they stay awake and actually do something.

But now naked short selling is affecting the companies which form the backbone of the modern world economy then all of a sudden it has become an issue. Some people say it is all a smokescreen designed to shift the blame for the current economic crisis onto speculators, but these people have an agenda too of course. They would like to be able to short companies into oblivion without hindrance. The fact is however that no government can allow the basis of their economy to disappear and indeed I don't see why shorters would want to see the end of the economy as we now know it as they would have nowhere to spend their stacks of worthless cash.

So far the market reaction to the news and also the news that people spreading false rumours will be prosecuted has been negative. This appears to be because they don't really believe that anything will come of it. One trader - Paul S. Berliner - was charged with securities fraud and market manipulation in April 2008 and I suspect that we will now see some high profile raids, investigations and arrests to let people know the SEC is serious.

When this happens I predict we will see a change in 'market sentiment' i.e. those that have made millions/billions from shorting the market will suddenly decide it is time to stop and start doing the opposite and the market will shoot back up, catching a fair number of small fry shorters off guard but probably not the big boys who tend to manage to get out first, almost as if they had been tipped off.

SEC to Outlaw Naked Short Seling

Christopher Cox has just announced emergency measures to outlaw naked short-selling of shares in Fannie Mae and Freddie Mac. Short selling is selling shares you don't own in the belief tht the share price will fall and that you will be able to buy them back cheaper. Normally to sell shares you don't own you first have to borrow them from soneone who does have some. Naked short selling however is selling shares you don't own and don't borrow either. This has been going of for years and is a highly dubious practice which many companies have already complained about, as you get into the ridiculous situation of more shares being sold than actually exist.

These emergency measures take effect immediately but so far only apply to Fannie Mae and Freddie Mac and primary dealers. Further measures will be brought in to cover other companies in future.

The SEC will also be bring in measures to prosecute traders who spread false rumours about companies with the sole intention of driving the share price down. One person has already been prosecuted and been banned from working in the industry for life.

They have also agreed with other stock exchanges around the world that they will bring in similar measures.

About time too a lot of people will be saying.
